1. Agreement to Terms

Welcome to BALISTAN LIMITED ("BALISTAN," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website (the "Site"), and the virtual assistant services we provide (the "Services"). By engaging our Services, you agree to be bound by these Terms in full. If you do not agree with any part of these terms, you must not use our Services.

2. Description of Services

BALISTAN provides virtual assistant services to businesses and individuals, including but not limited to administrative support, social media management, bookkeeping, and customer support as detailed on our Site. The specific scope of services for each client will be agreed upon at the commencement of the engagement.

3. Client Obligations

To enable us to provide our Services effectively, you agree to:

  • Provide us with clear, timely, and comprehensive instructions for all tasks.
  • Furnish all necessary information, data, and access to systems required to perform the agreed-upon tasks.
  • Respond to our communications and provide feedback in a timely manner.
  • Use our Services for lawful purposes only and not for any activity that is illegal, fraudulent, or infringes on the rights of any third party.

4. Fees, Payment, and Billing

All fees for our Services are as set out on our Site and are quoted in Great British Pounds (GBP).

  • Monthly Plans: Monthly service plans are payable in advance of each monthly billing cycle. Unused hours do not roll over to the next month unless explicitly agreed in writing.
  • Hourly Services: Services charged at an hourly rate will be invoiced at the end of each month or as agreed upon. Payment is due upon receipt of the invoice.
  • Late Payments: We reserve the right to suspend Services for overdue accounts. Invoices not paid within 14 days of the due date may incur a late payment fee.

5. Service Delivery

Our standard business hours are 9:00 AM to 5:00 PM (UK time), Monday to Friday, excluding public holidays in England. Tasks and communications received outside of these hours will be addressed on the next business day. While we strive to meet all deadlines, specific turnaround times for tasks will be agreed upon on a case-by-case basis.

6. Confidentiality

We are committed to maintaining the confidentiality of your business information. Any information you share with us ("Confidential Information") will be treated with the utmost care and will not be disclosed to any third party, except as required to perform our Services or as required by law. This obligation of confidentiality will survive the termination of our service agreement.

7. Intellectual Property

Any work product created by us specifically for you as part of the Services (e.g., reports, content, spreadsheets) shall become your intellectual property upon our receipt of full and final payment for the relevant services. We retain the right to use our general skills, knowledge, and experience, as well as any of our pre-existing templates, tools, and methodologies, in the course of our business.

8. Term and Termination

Our service agreement shall continue on a month-to-month basis for retainer plans, or on a project basis for hourly work. You may terminate our agreement by providing 30 days' written notice. We may terminate this agreement immediately if you breach a material term of this agreement or fail to make payment. Upon termination, you are required to pay for all services rendered up to the date of termination.

9. Limitation of Liability

To the maximum extent permitted by law, BALISTAN LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our Services. Our total liability for any claim arising out of or relating to these Terms or our Services is limited to the amount of fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless BALISTAN LIMITED and its employees from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Site. You are advised to review these Terms periodically for any changes.
